Directors and Officers are
responsible for managing corporations, including private, public and non-profit
entities. It is the responsibility of a Director or Officer to act with
unselfish loyalty to the corporation and to make decisions that are in the best
interest of the company and its shareholders, with no interest for personal
gain. In this capacity, they are subject to significant risk of their personal
assets for the costs associated with a lawsuit or other legal proceeding which
may be brought against them for an error, omission, misstatement, neglect or
breach of their duty. Anyone who sits on a board should have Directors' &
Officers' Liability Coverage.
